1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you or the entity you represent ("Client," "you") and Logicprismbase Consulting Co., Ltd. ("Logicprismbase," "we," "us," or "our"), governing your access to our website (logicprismbase.click) and our professional programming and API architecture consulting services.
2. Nature of Consulting Services
Logicprismbase provides specialized technical advisory, API contract design, OpenAPI schema modeling, microservice event architecture consulting, and developer experience reviews. Services are delivered through defined Statements of Work (SOW), project milestones, diagnostic audits, or advisory retainers.
3. Intellectual Property Rights
Client Deliverables: Upon receipt of full payment for agreed milestones, all bespoke OpenAPI specifications, schema schemas, Spectral linting configurations, and custom documentation generated specifically for the Client become the exclusive intellectual property of the Client.
Pre-Existing Methodologies: Logicprismbase retains all ownership, rights, and title to our pre-existing frameworks, generic architectural blueprints, proprietary linting ruleset libraries, and foundational templates utilized during the provision of services.
4. Client Responsibilities & Cooperation
To ensure effective service delivery, the Client agrees to provide timely access to necessary technical documentation, architecture diagrams, domain experts, and feedback during scheduled review sessions. Logicprismbase is not liable for project delays arising from Client scheduling delays or incomplete source material.
5. Fees, Billing & Payment Terms
Consulting fees are specified in written proposals or Statements of Work. Invoices are payable within fourteen (14) days of issuance via international wire transfer or designated corporate electronic payment methods. Late payments may incur interest at a rate of 1.5% per month or the maximum permitted by applicable law.
6. Professional Disclaimer & Limitation of Liability
While Logicprismbase adheres to the highest industry standards for API design and software architecture, our advice and specifications are provided to assist Client engineering teams. Final software implementation, security testing, and deployment remain the operational responsibility of the Client.
To the maximum extent permitted by applicable law, Logicprismbase shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data corruption, or business interruption. In all cases, our total cumulative liability under any engagement shall not exceed the total fees paid by the Client to Logicprismbase in the three (3) months preceding the event giving rise to liability.
7. Confidentiality & Non-Disclosure
Both parties agree to treat all proprietary technical information, business workflows, architecture diagrams, and commercial discussions shared during the engagement as strictly confidential, maintaining such confidentiality for at least three (3) years following the conclusion of services.
8. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Taiwan (Republic of China), without regard to its conflict of law principles. Any dispute or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of New Taipei City, Taiwan.
